Non-Disclosure Agreement — ARCHIV4D Vault Review

1. Purpose

The Receiving Party agrees to review ARCHIV4D Vault (@archiv4d/vault), a sovereign file intelligence library, as part of the Trili.tech FA2 Fellowship Microgrant evaluation. The system is offline-first and local-first — all data lives on the artist's own device, with optional on-chain provenance via Tezos FA2.

2. Confidential Information

"Confidential Information" includes: source code, architecture, and implementation details; content-hash addressing and chain linking mechanisms; ProvenanceGate access control logic; FingerprintVector verification system; ZK proof schemes and cryptographic parameters; proprietary configuration values in vault-secrets.js; multi-chain adapter patterns; grant applications and partnership details; and any materials marked "CONFIDENTIAL."

Exclusions: Information that (a) is publicly available through no fault of the Receiving Party, (b) was known before disclosure, (c) is independently developed, or (d) is disclosed with written consent.

3. Obligations

• NOT disclose Confidential Information to any third party
• NOT use Confidential Information for any purpose other than review/evaluation
• NOT reverse-engineer, decompile, or create derivative works
• NOT publish benchmarks, performance data, or security findings without written consent
• Protect Confidential Information with at least the same care as own confidential information

4. Permitted Actions

• Access the live demo application and navigate the spatial vault
• Read application documents, use cases, and technical overviews
• Discuss the existence of the project publicly (not implementation details)
• Provide evaluation feedback to the Disclosing Party

5. Intellectual Property

All intellectual property in ARCHIV4D Vault remains the sole property of ARCHIV4D INC. The open-source library (@archiv4d/vault) is Apache-2.0 licensed. The proprietary configuration file (vault-secrets.js) is NOT open-source.

6. Term

Effective from date of signing for twelve (12) months, or until written release, whichever comes first.

7. Governing Law

State of New York, United States.

8. Dispute Resolution

Any dispute arising from this Agreement shall be resolved by binding arbitration under the rules of the American Arbitration Association, with proceedings in New York. Either party may seek injunctive relief in any court of competent jurisdiction to prevent unauthorized disclosure of Confidential Information.
